  1. Scope

1.1 These Terms govern your use of the MonuDesk software (the “Service”), provided by IE Dennis Rodin, 22 Bakhtrioni Street N75, 0177 Tbilisi, Georgia (“we”, “us”, “the Provider”).

1.2 The Service is offered to businesses only, meaning natural or legal persons acting in the course of their trade, business, or profession. Consumers may not use the Service.

1.3 Your own terms and conditions do not apply unless we agree to them in writing.

  1. Account and payment

2.1 A contract is formed when you register and select a plan.

2.2 Subscriptions are sold and billed by Creem acting as Merchant of Record. Creem’s terms apply to the purchase itself, and Creem issues your invoice and handles sales tax or VAT.

2.3 All prices are exclusive of applicable sales tax or VAT.

2.4 Subscriptions renew automatically, monthly plans for one further month and annual plans for one further year, unless cancelled before the end of the current billing period.

  1. What the Service includes

3.1 We provide MonuDesk as a hosted web application (software as a service). The features available to you depend on the plan you select.

3.2 We develop the Service continuously and may change features, provided the core of what you pay for remains intact.

3.3 We aim for 99 percent availability measured monthly, excluding announced maintenance and disruptions outside our control.

3.4 Support is provided by email and in-app chat during business hours.

  1. Your responsibilities

4.1 You keep your login credentials confidential and are responsible for activity under your account.

4.2 You are responsible for the content you put into the Service, including contracts, invoices, and documents you send to your own customers. We provide templates; checking that they meet the legal requirements that apply to your business is your responsibility.

4.3 You may not misuse the Service, in particular you may not store or send unlawful content, attempt to breach its security, or resell access without our agreement.

4.4 You are responsible for having a lawful basis to enter your customers’ personal data into the Service.

  1. Term, cancellation, and your data

5.1 You can cancel at any time, effective at the end of the current billing period, in your account settings or by emailing info@monudesk.com. Amounts already paid are not refunded on a pro rata basis.

5.2 Either party may terminate for good cause without notice, in particular if you materially breach these Terms or fail to pay.

5.3 After your contract ends you can export your data for 30 days. After that we delete it, unless the law requires us to keep it.

5.4 Your data remains yours. We do not use it to train generalized AI models and we do not sell it.

  1. Data protection

6.1 Where we process personal data on your behalf, our Data Processing Agreement applies and forms part of this contract.

6.2 Our Privacy Policy at monudesk.com/privacy-policy explains how we handle personal data.

  1. Warranty and liability

7.1 The Service is provided as it is. We do not warrant that it will be uninterrupted or error free.

7.2 We are liable without limitation for intent and gross negligence, and for injury to life, body, or health.

7.3 For slight negligence in breaching an essential contractual obligation, our liability is limited to foreseeable damage typical for this kind of contract, and in any case to the fees you paid in the 12 months before the event.

7.4 Any other liability for slight negligence is excluded.

7.5 For loss of data, our liability is limited to the effort that would have been required had you kept regular backups.

  1. Changes to these Terms

We may change these Terms with 30 days notice by email. If you do not object within that period, the changes are deemed accepted. We will point this out in the notice. If you object, either party may terminate at the end of the current billing period.

  1. Final provisions

9.1 These Terms are governed by the law of Georgia, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory data protection law, including the GDPR, is unaffected.

9.2 The exclusive place of jurisdiction for disputes arising from this contract is Tbilisi, Georgia.

9.3 If any provision is invalid, the remaining provisions stay in force.
